Two vehicles, two statutes
A private limited company is incorporated under the company-law regime and receives a corporate identity number. A limited liability partnership is registered under the LLP regime and receives an LLPIN. Both sit on the Ministry of Corporate Affairs portal, but the services, the agreements, and the annual forms are not interchangeable. Limited liability, in both cases, is the ordinary statutory position. It is not a promise that a personal guarantee, fraud, or a duty the statute keeps on a designated partner or director will vanish.
Neither vehicle is a proprietorship. A proprietorship has no separate MCA identity. If you are still mapping every option a new business has, use the beside this comparison. The incorporation steps for the company path are in .
Ownership and control
Start with who must be able to own the business in three years, not with which form a friend called easier. If a later investor needs to hold shares, vote, and appear on a cap table, a company is built for that record. If the founders intend to stay as partners and split results under a private contract, an LLP can carry that bargain. Write the answer down before you reserve a name.
Partners and an LLP agreement
In an LLP, ownership is a partnership interest under the LLP agreement, not a share certificate. The agreement states contribution, profit share, and who decides what. Designated partners carry statutory responsibility for the LLP. MCA requires designated partners and a residency condition. Read the current instruction on mca.gov.in rather than repeating a day-count from memory. File the agreement on the LLP agreement service and read the filing window on that service.
The filing load you will actually staff
A private company keeps a board process and files annual financial statements and an annual return with the Registrar. Form variants depend on company class. Practitioners look up the AOC-4 family for financial statements and MGT-7, or the shorter annual-return form where the instruction allows it. Dates and eligibility are on MCA. maps that cabinet. Director KYC is a separate annual habit for people who hold a DIN.
An LLP does not run a company board. It still files an annual return and a statement of account and solvency on the LLP services. Confirm the form name and the date on mca.gov.in each year. Event filings differ too: a partner change is not a director change, and the form is not the same. Choose the vehicle whose annual file someone in the team will actually open. A lighter reputation is useless if nobody owns the calendar.
Money in, and money out
A company raises equity by issuing shares, and it can also borrow. An LLP takes contribution as the agreement describes, and it can admit a partner, but it does not issue shares. Many equity investors ask for a company because their documents assume shares, rights, and a cap table. That is a market practice, not a statutory ban on funding an LLP. If a named investor is already in conversation, ask what vehicle their documents require before you incorporate the other one.
Profit leaves the two vehicles differently. A company uses salary and dividend routes the law allows, and those routes have their own tax consequences. An LLP allocates profit as the agreement provides. A company is taxed as a company. An LLP is taxed on the partnership-firm pattern. Rates, surcharges, and special regimes change by Finance Act. Read the year on the Income Tax Department portal and in . Do not pick a vehicle because a headline called it tax-free.
A practical scenario
Meera and Arjun have a term sheet conversation scheduled with an angel who invests only in companies. A classmate tells them an LLP is easier because there is no board. They write three columns: who will own equity if the round closes, which annual forms they can staff, and whether they need a board minute for bank and hiring decisions. The investor documents assume shares. They incorporate a private company, accept the annual ROC bundle, and file the LLP idea away.
The classmate path would have been coherent if they had wanted to stay two partners, share profit under an agreement, and never issue shares. That is a real choice. It is a poor choice when the next document on the table is a share subscription. picks up after the vehicle exists. is the course that drills the company-side forms.
How to choose without guessing the tax
Make the decision in writing. One page is enough: owners, whether shares are required, who will keep the annual file, and a note that tax rates were read on the income-tax portal for the relevant year. If you cannot name the person who will track MCA dates, you are not ready to incorporate the heavier vehicle. Conversion from LLP to company, or the other way, is a process with its own filings. It is not a button you press after a round is already documented on the wrong vehicle.
Checklist for the structure meeting
1. State whether any investor must hold shares. 2. List designated partners or directors, and read the residency condition on mca.gov.in. 3. Write who keeps the annual file. 4. For a company, plan on financial-statement and annual-return filings and confirm the form names on MCA. 5. For an LLP, plan on the annual return and the statement of account and solvency, and confirm those form names on MCA. 6. Read entity tax on the income-tax portal before anyone claims one vehicle is cheaper. 7. Reserve a name only after the vehicle is chosen. 8. If you incorporate a company, follow for the sequence after the name.
Frequently asked questions
Is an LLP always cheaper to maintain than a private limited company?
No fee comparison in this article is reliable across years. Annual forms differ, and tax differs. Price the live MCA fee and read the income-tax result for your facts.
Can an LLP issue shares to an investor?
An LLP does not have share capital in the company sense. An investor who must hold shares is asking for a company. Admit a partner only if the documents allow that interest.
Do both vehicles file on the MCA portal?
Yes. The services and form names differ. Confirm the company service or the LLP service on mca.gov.in for the filing you are about to make.
Does limited liability mean founders have no personal risk?
Liability is limited in the ordinary statutory case. Guarantees, fraud, and duties that stay with directors or designated partners are outside that slogan.
Can we convert later if we choose the wrong one?
Conversion paths exist and they are filings, not a rename. Doing it after investors have signed the wrong documents wastes the round. Choose before you reserve the name.
Are GST rules different for an LLP and a company?
GST follows the supply and the registration, not the MCA label. Decide GST on the GST portal after the entity exists. The vehicle choice does not replace that decision.
