Annual compliance is a year, not a form
A private company remains a company on the day after incorporation and on every day after that, including days with no invoice. Annual compliance is the set of records and filings that prove the year happened in order. The Registrar sees forms. A reviewer sees the minutes, the signed financials, and the acknowledgements behind those forms. is the wider map. This note is the annual slice of it.
Do not diarise a date from last year group chat. The financial-statement filing, the annual return, auditor intimation, and director KYC each take their date from MCA for that cycle. Open mca.gov.in and copy the date into with the form name beside it. If the portal and this article ever disagree, follow the portal.
Books, board, and the financial statements
Keep books that can become financial statements: bank, sales, purchases, and the incorporation and professional costs of the year. A company with no revenue still has a year. The statements may be thin. They still have to be approved in the order the Act requires. Plan board meetings across the year. The Act sets a minimum pattern and a maximum gap, with a lighter pattern for some company classes. Read the provision that applies to your class, and keep notice, attendance, and signed minutes for each meeting.
Decide whether audit applies. Audit duty depends on company class and on thresholds in force for the year. This article does not state a turnover or capital figure, because those thresholds move. Read the provision, write down why audit applies or does not, and attach that note to the file. The board then approves the financial statements. Where the company must hold an annual general meeting, the adoption of accounts is tied to that meeting. Read whether your company class must hold one, and read the timeline, before you lock the filing order.
The annual ROC bundle
After the statements are approved in the proper meeting, file them. Then file the annual return. Attachments must match the signed PDFs. A form that quotes a meeting date the minutes do not contain is not finished, even if the portal accepts a payment. Store the acknowledgement with the signed set. is the companion note when the statements must also agree with the tax filings.
Financial statement filing
Practitioners file the company financial statements on the AOC-4 family of forms. Variants exist for different company classes, including consolidated accounts and certain digital filing modes. Use the variant the MCA instruction assigns. Confirm the form name on mca.gov.in for the year. The due date is counted from events the instruction names, often the meeting at which accounts were adopted. Copy that count from MCA. Do not type a month-end from memory into the calendar.
Annual return
The annual return is a separate form from the financial statements. Practitioners look up MGT-7. Some company classes may use a shorter annual-return form. The form instruction states who may use it. Read that instruction for the year you are filing. Do not assume a small operation automatically qualifies because revenue was low. Eligibility is a test in the instruction, not a feeling about the bank balance.
Auditor appointment and director KYC
The first auditor is appointed by the board, and later appointments follow the route the Act sets for the company. Intimate the appointment to the Registrar. The form practitioners look up is ADT-1. The window runs from the appointment. Read the window on the form help at mca.gov.in. A company that skips the intimation can have a valid appointment in the minutes and a defective MCA record. Keep both the minute and the acknowledgement.
Each director who holds a DIN completes KYC on MCA in the cycle MCA announces. The form family is DIR-3 KYC. The opening and closing of that cycle are announcements, not a date this article is allowed to freeze. Put a row in the calendar labelled “confirm DIR-3 KYC window on MCA”, and fill the date only when the announcement is up. A disqualified or non-KYC director can stall other filings. Check status before you assign signatories for the annual forms.
A practical scenario
The Hyderabad services company from incorporation finishes its first financial year with four invoices and a stack of incorporation invoices. The founders assume a quiet year means no ROC work. The accountant closes the bank reconciliation anyway. The board meets, approves thin financial statements, and records whether an annual general meeting is required for that company class. Audit is decided from the current threshold note, not from a blog that quoted an old limit.
Only then does anyone open the financial-statement form and the annual return. The attachment PDFs are the same files the directors signed. ADT-1 for the first auditor is checked against the form window on MCA before the annual bundle is treated as done. Income-tax filing for the company is a separate portal and a separate date, covered from the tax side in . The course uses a file of this shape.
Checklist for the annual file
1. Close the books and the bank reconciliation for the financial year. 2. Write whether audit applies, citing the provision you actually read. 3. Hold the board meetings the company class requires, with minutes. 4. Approve the financial statements. 5. Hold the annual general meeting if this company must, and record the date. 6. File the financial-statement form MCA names for this company, after confirming the variant and the date on mca.gov.in. 7. File the annual return form the instruction allows, again with the date from MCA. 8. Confirm ADT-1 and the DIR-3 KYC window on MCA before you call the year closed.
What to read before you trust a date
Additional fees for a late form are computed on the MCA payment screen. Some defaults can also move to adjudication. This article states neither a fee slab nor a penalty amount. If a notice arrives, read that notice. People building a desk career around this calendar can follow . The company was created by the steps in . Annual work is the reason that registration was never the last step.
Frequently asked questions
Does a private company with zero revenue skip annual filings?
No. The company still exists. Prepare the year accounts, including a nil year, and file the forms MCA requires. Confirm the forms and dates on mca.gov.in.
What is the due date for AOC-4 and MGT-7?
This article does not state one. The count of days is on the MCA instruction for the year and is tied to the meeting dates in your own file. Copy it from mca.gov.in.
Is every private company audited?
Audit depends on company class and on thresholds in force. Read the provision for the year and write the conclusion into the file. Do not reuse an old turnover figure.
When is ADT-1 filed?
After the auditor is appointed, inside the window the form help states. Read that window on mca.gov.in for the appointment you are intimating.
When is DIR-3 KYC due?
In the window MCA announces for that cycle. Put a reminder to check the announcement. Do not reuse last year closing date without looking.
Can one PDF set serve both the board and the portal?
Yes, and it should. The attachment on the form must be the signed financials and the signed minutes you are relying on. Mismatched PDFs are a review finding even after payment.
