Who the Registrar is
The Registrar of Companies is the officer through whom the Ministry of Corporate Affairs records companies and LLPs. When people say “ROC filing”, they mean a form on the MCA portal that updates that record or deposits an annual document. The portal is the public face of the filing. The company books, board minutes, and signed attachments are the private face. Both have to match.
A company receives a corporate identity number at incorporation. An LLP receives an LLPIN. Those numbers are how the Registrar finds you. The steps that create a company are in . The reason you might have chosen a company rather than an LLP is in . ROC work starts when that number exists and does not stop while the number stays live.
Four kinds of ROC work
Sort the work into four drawers so a founder does not treat “ROC” as a single mysterious form. Drawer one is master data. Drawer two is event-based filing. Drawer three is the annual bundle. Drawer four is the identity of the people who sign: DIN, digital signature, and KYC. A calendar that only lists the annual forms will miss a director resignation in June and then fail the annual form in silence.
Master data
Master data is what a stranger sees when they pull the company on MCA: name, status, registered office, directors, and capital figures the portal holds. After every approved form, open the master and see whether it moved the way the minutes say. A filing acknowledgement with master data that still shows the old director is an unfinished job. Screenshot or save the master into the year file when you rely on it.
Event-based filings
Events have their own forms: a director appointment or resignation, a change of registered office, a charge, an allotment of shares, a change of name. The form name depends on the event. Look it up on mca.gov.in when the event happens. The window is on that form. Do not borrow the window from a different event. The trigger is the board or shareholder decision, so the minute date and the form date have to tell one story.
Annual filings sit beside the events
Once a year the company deposits its financial statements and its annual return. Practitioners know the AOC-4 family and MGT-7, with a shorter annual-return form for some classes if the instruction allows it. The dates are not in this article. They are on MCA, and they move with the meeting at which accounts were adopted and with any extension the Registrar actually grants. walks that bundle. Put both forms on with blank date cells until you have read the instruction for the year.
LLPs have a different annual pair: an annual return and a statement of account and solvency. Do not file company forms on an LLP record or the reverse. The portal will not treat them as substitutes, and a reviewer should not either.
Director identifiers and signatures
A director needs a Director Identification Number that is active, a digital signature that has not expired, and KYC completed for the cycle MCA has opened. The KYC form family is DIR-3 KYC. The dates of the cycle are an MCA announcement. Check status before you assign that director as a signatory on an annual form. A professional who signs also needs a live signature and the role the form expects. Expired signatures are the most common reason a correct attachment still will not upload.
Auditor appointment is intimated on ADT-1 after the appointment exists in the minutes. Again, the window is on the form at mca.gov.in. teaches the habit of reading the form help before the upload, which is the whole of ROC discipline in one sentence.
A practical scenario
Kabir runs a two-director trading company. He believes ROC compliance means “the CA uploads something in October”. In March a director resigns. Nobody files the cessation. In the annual cycle the form still offers the resigned director as a signatory, the digital signature fails, and the master still shows three people because an old appointment was never corrected either. The annual form is not the disease. The event drawer was empty.
The repair is ordinary. File the cessation on the form MCA shows for that event, after the resignation letter and the board minute are in the folder. Refresh the master. Then prepare the annual statements and the annual return with signatories who still hold office. The additional fee, if any date was missed, is whatever the payment screen shows that day. Nobody in this note is authorised to quote it.
Checklist for an ROC file
1. Save the incorporation certificate and the current master data from mca.gov.in. 2. List every event this year that changes directors, office, capital, or charges, and match each to a form name you looked up. 3. Confirm each signatory has a live digital signature and a DIN that passed the current KYC cycle. 4. Keep minutes and the attachment PDF as the same document. 5. Schedule the financial-statement form and the annual return only after the dates are copied from MCA. 6. After payment, save the acknowledgement next to the signed PDF. 7. Open the master again and check that it matches the minutes.
Fees, delay, and where the number lives
MCA computes the filing fee and any additional fee for delay at payment. The table can change. Read the screen. Separately, company law can adjudicate some defaults. A notice is the source for that consequence, not a blog range. This article does not state a rupee penalty. If you want the career version of this cabinet, read . If you want the annual slice only, stay with the annual compliance note and confirm every date on the portal before you promise a client a filing week.
Frequently asked questions
Is ROC compliance the same as income-tax filing?
No. ROC filings go to the Registrar through the MCA portal. Income-tax returns go to the Income Tax Department. The books may be shared. The portals and the dates are not.
What does ROC stand for here?
Registrar of Companies. Filings are made on the Ministry of Corporate Affairs portal, mca.gov.in.
Do we file ROC forms if the company did not trade?
Annual filings still arise because the company exists. Event filings arise only if the event happened. Confirm the annual forms on MCA even for a nil year.
Where are AOC-4, MGT-7, ADT-1, and DIR-3 KYC due?
On mca.gov.in, in the form help or the announcement for that cycle. This article does not print those dates.
What is the penalty for a late ROC form?
The portal shows any additional fee at payment. Adjudication, if it applies, is in the notice you receive. Do not budget from a remembered rupee figure.
Are LLP filings part of ROC compliance?
Yes, in the broad sense that the Registrar records LLPs too. The forms are the LLP set, not AOC-4 and MGT-7. Confirm them on the LLP services.
