Start with the vehicle, not the logo
A startup is not a legal category by itself. It is a business that still has to be a proprietorship, a partnership, an LLP, or a company. The vehicle decides which portal you will live on and who is liable. Two founders who want shares and a board are on the company path in . Founders who want a partnership interest and an agreement should read before they reserve a name. A solo consultant may stay a proprietorship until a client or an investor requires a company.
Write the choice on one page: owners, whether anyone must hold shares, and who will staff the annual file. A wider pass over local permissions and non-company options sits in the . is the classroom version of holding GST and ROC in one file. The checklist below is the order, not a claim that every row applies to every activity.
Incorporation or registration, then identity numbers
If you incorporate a company, follow the MCA sequence: name reservation, incorporation filing, corporate identity number, then PAN and TAN through the workflow the form still offers. Confirm that linked request on the live form at mca.gov.in. Open the bank account in the company name and hold the first board meeting before the first company invoice. If you register an LLP, use the LLP services on the same portal, file the agreement within the window that service states, and track the LLPIN the way a company tracks its corporate identity number.
A proprietorship uses the founder PAN. There is no MCA certificate. Say so in the client contract so nobody prints “Pvt Ltd” on an invoice for a business that was never incorporated. TAN comes into view when the business must deduct tax. That question is , decided on the income-tax rules, not on enthusiasm.
Tax registrations you decide, not collect
Collecting registrations as badges is how startups end up with a GSTIN they do not file, or without a GSTIN they should have used on day one. Decide each tax from its own statute and its own portal. The books you will need underneath both decisions are the same books: sales, expenses, and the bank.
GST
GST registration is a liability test plus, in some cases, a choice to register. Read and the questions on the GST portal. A linked option inside an MCA incorporation screen is not the test. Do not put a GSTIN on a tax invoice until the portal shows the registration as approved. If you are not liable and you do not choose to register, your invoice is not a tax invoice and you do not collect GST.
Income tax and TDS
The entity files its own income-tax return when the law requires it. A company does not disappear from the income-tax system because the product is still in beta. TDS is a separate duty on specified payments you make, and a fact of receipts when a customer deducts on the way in. Read the payment type on the income-tax side before you release a vendor payment. Dates and rates move. The Income Tax Department portal is the source for the year you are in.
People, contracts, and sector rules
Put founder promises in a written instrument that matches the vehicle: a shareholders understanding for a company, the LLP agreement for an LLP. Customer contracts should name the entity that will invoice. Hiring adds labour registrations only when a threshold or a state rule actually applies. Provident fund and employees state insurance turn on workforce tests and notifications. Read the current threshold. Do not copy an employee count from a founder thread.
Sector rules sit on top of tax and ROC. A food brand looks at FSSAI for the product. A hospital or clinic is a different compliance stack (clinical establishments, biomedical waste, plus tax and ROC if the organisation is incorporated); Mercy Care Hospital is an example of a healthcare organisation, and this sentence does not describe its licences. Your activity list, not a generic startup poster, decides which sector row you add.
A practical scenario
Three founders in Pune build a software tool for clinics but they are not themselves a clinic. They incorporate a private company because an advisor fund has asked for shares. They reserve a name, file incorporation, wait for the corporate identity number and PAN, and open a current account. They do not invoice the design partner from a personal UPI while the form is pending. GST is decided from their own expected supplies on the GST portal, not from the hospital customers they hope to serve.
They sign a short founders note that matches the shareholding on the MCA form, and they appoint one person to own the compliance sheet. The mistakes they are trying not to become are listed in . The hospital sentence above stays a boundary: selling software to clinics is not the same file as running a clinic.
Startup India recognition is a separate programme
Startup India recognition is a government programme. If you intend to apply, read the current eligibility and every benefit on the official Startup India site. This article does not list recognition criteria, tax holidays, or rupee amounts, because those live in the programme text and change. Recognition does not replace incorporation, GST, TDS, or ROC. A certificate, if you receive one, goes in the data room as a programme status. Investors will still ask for the tax and MCA record underneath it.
Checklist for the first legal file
1. Choose the vehicle and write why, including whether anyone must hold shares. 2. Reserve the name and incorporate or register on the service mca.gov.in shows for that vehicle, or record that you are a proprietorship with no MCA file. 3. Track PAN and TAN until they are in the folder. 4. Open the bank account in the entity name. 5. Decide GST on the GST portal and do not print a GSTIN early. 6. Read TDS before the first vendor payment that might attract it. 7. Put founder and customer contracts in the same folder as the charter. 8. Add sector rows only for the activity you actually carry on, and confirm every MCA date on the portal before it enters a calendar.
Frequently asked questions
Does every startup need a private limited company?
No. Use a company when you need shares, a board, or an investor document that assumes them. A proprietorship or LLP can be coherent. Write the reason before you pay a fee.
Does Startup India recognition remove GST or ROC filings?
No. Recognition is a government programme. Read any benefit on the official Startup India site. GST, income tax, and MCA filings continue on their own rules.
When should a startup register for GST?
When the liability test says so, or when you choose to register. Read the GST portal for your facts. Incorporation day is not automatically registration day.
Where do MCA due dates come from?
From mca.gov.in, on the form help or the announcement for that cycle. Do not paste dates from this checklist into a diary.
What if we sell to hospitals?
Selling to a clinic is your ordinary tax and contract file. Operating a clinic adds clinical-establishment and biomedical-waste duties. Do not copy a hospital licence list onto a software company.
Can we invoice before the company exists?
An invoice before incorporation is not the company invoice. Wait for the corporate identity number, the bank account, and a GST decision, then invoice in the company name.
